Third-Party Code of Conduct

This Code of Conduct outlines the ethical, legal, and professional standards that all third parties, vendors, contractors, consultants, resellers, agents, and other business partners, must follow when working with our organization.
It exists to:
- Ensure that our partnerships are built on trust, integrity, and mutual respect.
- Protect our brand, reputation, and stakeholders.
- Promote responsible business practices that benefit people, communities, and the environment.
Compliance with this Code is a mandatory condition of doing business with us. We expect third parties to cascade these standards to their own employees, subcontractors, and supply chains.
Ethical Business Practices
We expect all third parties to:
- Conduct business honestly, fairly, and transparently, avoiding deceptive or misleading practices.
- Reject all forms of bribery, corruption, extortion, or facilitation payments, whether direct or indirect.
- Maintain accurate, complete, and verifiable records of all transactions, ensuring they reflect the true nature of the business.
- Compete fairly, avoiding collusion, price-fixing, or other anti-competitive behavior.
Compliance with Laws and Regulations
Third parties must comply with all applicable laws, rules, and regulations in every jurisdiction where they operate, including but not limited to:
- Trade, customs, and export control laws.
- Anti-money laundering and counter-terrorism financing regulations.
- Labor, employment, and workplace safety laws.
- Environmental protection and sustainability regulations.
Note: Ignorance of the law is not an excuse; partners are expected to stay informed and seek guidance when needed.
Labor and Human Rights
We are committed to upholding internationally recognized human rights, and we expect our partners to:
- Prohibit forced, bonded, or involuntary labor of any kind.
- Eliminate child labor, ensuring no one under the legal minimum working age is employed.
- Provide fair wages, benefits, and working hours in line with local laws and industry standards.
- Ensure safe, respectful, and non-discriminatory workplaces.
- Respect employees’ rights to freedom of association and collective bargaining without retaliation.
Health, Safety, and Environmental
Third parties must:
- Provide a safe and healthy work environment, with appropriate training, protective equipment, and emergency preparedness.
- Identify and mitigate workplace hazards proactively.
- Minimize environmental impact by reducing waste, conserving resources, and preventing pollution.
- Comply with all environmental laws and support sustainability initiatives.
Data Privacy and Confidentiality
We require partners to:
- Protect confidential information, trade secrets, and intellectual property belonging to our company or others.
- Use such information only for authorized business purposes.
- Handle personal data in compliance with applicable privacy and data protection laws.
- Implement safeguards to prevent unauthorized access, loss, or misuse of data.
Conflicts of Interest
Third parties must avoid situations where personal or financial interests could compromise, or appear to compromise, their ability to act in our best interest.
- Any potential conflict must be disclosed immediately.
- Examples include family relationships with our employees, ownership stakes in competing businesses, or side agreements that could influence decision-making.
Monitoring, Reporting, and Enforcement
- We reserve the right to conduct audits, assessments, and site visits to verify compliance.
- Third parties must cooperate fully with any investigation into suspected violations.
- Violations may result in corrective action, suspension, or termination of the business relationship.
- Partners are encouraged to report concerns or suspected breaches through our confidential reporting channels without fear of retaliation.
Commitment to Continuous Improvement
We value partners who actively seek to improve their ethical, social, and environmental performance.
- Engage in training and capacity-building programs when offered.
- Share best practices and innovations that promote sustainability, diversity, and inclusion.
- Regularly review internal policies to ensure alignment with evolving laws and expectations.
